Assistant Company Secretary / Legal Assistant

Job description:

  • assist the Company Secretary in ensuring compliance with corporate legal and statutory requirements of a large and international portfolio of companies
  • closely liaise with our outsourcing partner for company secretarial services on the joint management of the current portfolio of companies
  • liaise with directors and local offices to gather input, signatures and finalize documentation; liaise with the Group's auditors
  • arrange for mandatory annual statutory filings
  • manage ad hoc corporate modifications (e.g. change of board member, authorized signatory or registered address, issuance of powers of attorney; etc.)
  • amend articles of association; prepare board resolutions and other corporate documents
  • take a role in shareholder-relevant matters, mergers and corporate transactions
  • manage signature processes (including notarization and legalization) and KYC processes
  • update corporate documents software and handle archiving
  • implement required adjustments due to changes in relevant legislation and the regulatory environment
  • liaise with the Group's Treasury Dept. in response to Know-Your-Customer (KYC) enquiries and ensure that bank mandates and associated documents are up to date
  • assist the Legal Dept. in day-to-day legal matters

What skills do you need to have to be successful?

  • Bachelor in law or equivalent (e.g. certified corporate paralegal), or business administration qualification with additional legal training
  • 2-5 years of professional experience as an in-house legal assistant and/or as a corporate assistant/paralegal in a corporate law firm
  • fluent spoken and written Englis, German would be an advantage
  • high affinity for corporate legal and statutory filing obligations and processes
  • good knowledge of legal processes and responsibilities as well as capabilities for supporting the in-house legal advisers in business-as-usual legal matters
  • sound IT skills
  • high degree of self-initiative and responsibility
  • analytical, systematic, detail-oriented person
  • good verbal and written communication skills
  • ability to prioritize and work under pressure
  • integrity and discretion when handling confidential information
